1. General

Oak Valley IT Ltd (“I”, “me”, “we”, “us”, or “our”) provides bespoke training, consultancy & support services focused on Microsoft Office & related business technology. By engaging our services, you (“the client”) agree to the following terms & conditions.

2. Scope of Services

We offer tailored training, consultancy & support to help teams make better use of Microsoft Office & related tools. Each engagement will be confirmed in writing, outlining the agreed deliverables, timescales & costs. Unless agreed otherwise, our services do not include:

  • Supply or licensing of Microsoft software or hardware

  • On-site technical troubleshooting or repair

3. Bookings & Payment

Bookings can be confirmed by email or through an accepted proposal. An invoice will be issued once the booking is confirmed or upon completion, depending on the agreement. Payment terms are 14 days from the date of invoice, unless otherwise agreed in writing. Late payments may incur interest per the Late Payment of Commercial Debts (Interest) Act 1998.

4. Cancellations & Rescheduling

  • Cancellations with more than 4 weeks’ notice: no charge.

  • Cancellations within 4 weeks of the scheduled session(s): 50% fee applies.

  • Cancellations within 1 week or failure to attend: full fee applies.

  • Sessions may be rescheduled once without charge if requested at least 4 weeks in advance.

Oak Valley IT Ltd reserves the right to cancel or postpone any booking.

5. Client Responsibilities

To ensure training or consultancy sessions run smoothly, the client agrees to:

  • Provide accurate information & access to any relevant systems or files.

  • Maintain a suitable environment for in-person or online sessions.

  • Advise if there are any delegates/individuals attending the training sessions with special needs (these will always be accommodated wherever possible).

6. Confidentiality

We respect the confidentiality of all client information. Any materials, data or discussions shared during projects will remain confidential & will not be disclosed to third parties without permission, except where required by law.

7. Intellectual Property

All training materials, documents, templates & resources provided by Oak Valley IT Ltd remain our intellectual property unless explicitly stated otherwise. Clients are granted a non-exclusive licence to use materials for internal business purposes only.

8. Liability

We take great care to provide accurate, effective & up-to-date training & advice. However:

  • We cannot accept responsibility for decisions made or actions taken based on our training or consultancy.

  • Our total liability for any claim shall not exceed the total amount paid by the client for the relevant service.

  • We are not liable for indirect, consequential or financial losses arising from the use of our services.

9. Data Protection

We comply with the UK General Data Protection Regulation (GDPR). Any personal or business information shared with us will be used solely for the purpose of delivering agreed services. We will not share or sell client data to third parties.

10. Termination

Either party may terminate the agreement with written notice if:

  • The other party breaches these terms & fails to remedy within a reasonable time, or

  • External circumstances make it impractical to continue.

Any fees due up to the point of termination remain payable.

11. Governing Law

These terms are governed by the laws of England & Wales. Both parties submit to the exclusive jurisdiction of the courts of England & Wales.

12. Updates to These Terms

We may update these terms from time to time to reflect changes in our business or the law. The latest version will always be available on our website or on request.
